4. User Accounts and your Responsibilities

- You agree to notify us immediately if you become aware of any unauthorized use of your password or account identifiers by others.
Failure to abide by this agreement constitutes a breach of the Terms, which may result in immediate termination of your account on all applicable Services.
5. Termination of Registration
If you no longer wish to have a registered account, you are free to delete your account from the “Profile” section of your account. If you no longer accept these terms or any future modifications to said terms, you are expected to cease using the Services. Continued use of the Services indicates your continued acceptance of these terms.
6. Diaspure’s Rights
You acknowledge and agree that:
- Diaspure reserves the right but not the obligation, to, at any time, review and temporarily or permanently remove any or all of the content submitted to the Services.
- Not all Services or features will be available to all users at all times and Diaspure is not obligated to make any Services or features available in any jurisdiction.
- We reserve the right to modify the Services or any part thereof for any reason, without notice and at any time unless otherwise stipulated by law.
- If for any reason, we believe that you have not complied with these terms, without prior notice or liability we may, at our sole discretion, immediately terminate or suspend your access to the applicable areas of the Services and make inaccessible any related content.

You acknowledge that under the agreement between Diaspure and you, unless otherwise stated, Diaspure is the sole owner of all content on the Services, including, without limitation, whether registered or unregistered, all applicable copyrights, patents, trademarks, trade secrets, trade names, logos, and any other intellectual property rights on or off the Services. The Services and Diaspure content are protected by the copyright laws and other intellectual property laws of Canada and are protected globally by applicable international copyright treaties.
Except as expressly authorized by Diaspure, you acknowledge and agree that you may not use any Diaspure content for any purpose without our written approval. You are also prohibited from creating either an electronic or paper database comprising all or part of the content appearing on the Services.

7.2. User Content
Users of the Services may submit content for publication on various areas of the Diaspure Services. Your interaction with our services is also governed by our Community Guidelines and Contributor Guidelines. Your decision to submit any content to Diaspure through any means indicates your consent to our Community and Contributor Guidelines and the conditions laid out in these Terms and Conditions, Cookie Policy, Disclaimers, and Privacy Policy. We accept no liability in respect of any content submitted by users and published by authorized third parties or by us.
When you submit content to us, you represent and warrant that:
- The content is yours (you have created the content, or have received permission from or are authorized by the owner of any part of the content)
- The posting of your content on or through the Diaspure Site does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.
Diaspure does not claim ownership of the content you provide to us therefore, you acknowledge and agree that you, or the owner of the content, still own the copyright in the content provided to us, and you, or the owner are responsible for protecting those rights. You further acknowledge and agree that you grant us an unconditional, non-exclusive, royalty-free, irrevocable, fully transferable, perpetual worldwide right and license to use, modify, publicly perform, publicly display, create derivative works, reproduce, distribute, broadcast, make available, translate, and authorize third parties to use and/or publicly display such content in any format on any platform, either now known or hereafter invented. Diaspure may also use our rights under this license to operate, provide, and promote the Services and perform our obligations and exercise our rights under these Terms.
When you post or view content provided by others on Diaspure Services you acknowledge and agree that you are doing so at your own discretion and risk. Posting, or any usage of your content and the views expressed by you and other users in that content do not reflect the views of Diaspure, nor does Diaspure support or endorse any user content. Though we make every effort to maintain certain quality standards, you further acknowledge and agree that we have no obligation to pre-screen, review, monitor, or edit any content posted by you and other users on the Diaspure Services.
7.3. Content Restrictions
We are not responsible for the content of the Diaspure Services users. You acknowledge and agree that you are solely responsible for the content and for all activity that occurs under your account, whether done so by you or any authorized third-parties using your account.
You may not transmit any content that is unlawful, offensive, upsetting, threatening, intended to disgust, libelous, defamatory, obscene, or otherwise objectionable. Examples of such objectionable content include, but are not limited to the following:
- Unlawful or promoting unlawful activity.
- Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.

We or authorized third parties reserve the right, but not the obligation, to, in our sole discretion, determine whether or not any content is appropriate and complies with these Terms, Community Guidelines, and our Contributor Guidelines. You understand that Diaspure can refuse or remove this or any content at any time. We further reserve the right but not the obligation to make formatting, edits, and change the manner of any content. We can also limit or revoke the use of the applicable Services if you post such objectionable content. You acknowledge and agree to use the Services at your own risk. You understand that by using the Services you may be exposed to content that you may find offensive, indecent, incorrect, or objectionable, and you agree that we will not be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of the Services.
7.4. Content Backups
Although regular backups of content are performed, we do not guarantee there will be no loss or corruption of data.
Corrupt or invalid backup points may be caused by, without limitation, content that is corrupted prior to being backed up or that changes during the time a backup is performed.
- You acknowledge and agree that Diaspure assumes no liability related to the integrity of content or the failure to successfully restore content to a usable state.
- You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.
8. Apps
You may download certain apps either from our Sites or from third-party app stores. To the maximum extent relevant to your use of the apps, all the Terms and Conditions outlined here apply to the Diaspure apps. You acknowledge and agree that your use of any and all the Services is at your own risk and we shall not be liable for any damage caused to or interference with any equipment or other apps or content of any kind.
9. Copyright Policy
9.1. Your Intellectual Property Infringement
it is our policy to respond to any claim that content shared on the Services infringes a copyright or other intellectual property infringement of any entity.
If you are a copyright owner or authorized on behalf of one, and you believe that copyrighted work exists on the Services and has been used in a way that constitutes copyright infringement, please submit your notice in writing using the form on our contact page. Diaspure welcomes any ideas and/or suggestions relating to improvements or additions to the Services. Under no circumstances will any disclosure of any idea, suggestion or related material or any review of the Services, Third Party Services or any Third Party Provider to Diaspure be subject to any obligation of confidentiality or expectation of compensation. Whether submitted directly to Diaspure, posted on any Diaspure forum or page, or third-party platforms, you or any third-party assign all rights, title, and interest in any feedback you or any third-party provide to Diaspure. You or any third-party acknowledge and agree to grant Diaspure a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, and modify such Feedback without restriction. Implementation and use of such feedback is based on Diaspure’s sole discretion. Any feedback of a Third Party Service or Third Party Provider that you submit to Diaspure must be accurate to the best of your knowledge, and must not be invasive of privacy, illegal, obscene, defamatory, threatening, infringing of intellectual property rights, or otherwise likely to cause injury to third parties or objectionable. Diaspure reserves the right but not the obligation to remove any shared feedback, or regularly inspect posted feedback.

The Services may contain links to third-party websites or services that unless expressly stated, are not owned or controlled by Diaspure. In some instances, Diaspure may receive a revenue share from Third Party Providers that Diaspure recommends to you or that you otherwise engage with through your use of the Services
You acknowledge and agree that Diaspure provides no warranties or makes no representations to you with respect to Third Party Services. We have no control over and assume no responsibility for, any content, any policies, or any other practices of any third-party websites or services. You further acknowledge and agree that Diaspure shall not be responsible or liable, directly or indirectly to you or anyone, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. The inclusion of a link to another site or service on Diaspure does not imply any endorsement of the sites or services of those in control of them.

12. Third-party Websites/Products/Services (Third-party Services)
You acknowledge and agree that:
- From time to time Diaspure may share or make known to you in various ways Third Party products, services or website links (“referred to as Third Party Services”) for your consideration or use. In some instances, Diaspure may receive a revenue share from Third Party Services that Diaspure shares with you or that you otherwise engage with through your use of the Services. You acknowledge and agree that your interaction with Third Party Services or Third Party Providers accessed through Diaspure may require Diaspure or you to share your personal information. By proceeding with interacting with such Third Parties, you consent that such Third Parties may contact you regarding your interaction with their listings, products, services, websites, or social channels. The availability of Third Party Services and/or Third Party Providers on Diaspure does not constitute or imply an endorsement, authorization, sponsorship, or affiliation by or with Diaspure. You further acknowledge that Diaspure may remove any Third Party Services and/or Third Party Providers at any time in its sole discretion and without notice to you. Diaspure is not responsible or liable to anyone for discontinuation of access to any Third Party Service and/or Third Party Providers.

Though we make every effort to maintain certain quality standards, advertising content submitted by third parties for display on the Services is the sole responsibility of the advertiser. We accept no responsibility for the content of advertising material, including, without limitation, any error, omission or inaccuracy.
If you would like to advertise on Diaspure, please contact us. Diaspure is the sole direct seller of advertising on the Services. You should not deal with any third parties with regards to the sale and placement of advertisements on the Services, except for those third parties approved by Diaspure.
13. Indemnification
To the extent permitted by applicable laws, you acknowledge and agree to defend, indemnify, and hold harmless
- Diaspure and (as applicable), its parents, subsidiaries, affiliates, agents, and suppliers and each of their respective officers, directors, and employees from any and all claims or demands (made by you or any third party), liabilities, actions, proceedings (including all consequential, direct, indirect, special, or incidental loss or punitive damages or loss), legal and other professional fees, fines, penalties, interest, loss of profit, or any other form of economic loss (including loss of reputation), costs, and expenses, including, but not limited to, attorneys’ fees and any expenses, arising out of a breach by you or any user of your account, or arising out of a breach of your obligations, representation and warranties under these terms and conditions.
- (Where applicable) Diaspure is not responsible for your violation of any law or the rights of a third party, or any aspect of a transaction between you and your Customer, including but not limited to refunds, fraudulent transactions, alleged or actual violation of applicable laws (including but not limited to Federal, Provincial, and State consumer protection laws), or your breach of the Terms and Conditions.
- You are responsible and will be liable for any breach of the Terms and Conditions by your affiliates, agents, or subcontractors, or by any other user of your account.
- You use the Services at your own discretion and risk. The Services are provided on an “as is” and “as available” basis without any warranty or condition, express implied, or statutory.
- Diaspure is not responsible for any of your financial obligations, or liabilities related to the use of Diaspure’s Services.
- Diaspure does not warrant that the quality of any products, services, information, or other materials purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected.
- We do not accept any responsibility or liability for any statement on the Services. Nothing on the Services is provided for any specific purpose or at the request of any particular person. To the maximum extent permitted under applicable law, Diaspure, on its own behalf and on behalf of its affiliates and Its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Services and all related components, information, products, and services, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice, and any warranties concerning the availability, accuracy, appropriateness, reliability, timeliness, or usefulness of the content of the Service. No oral or written information or advice shared or given by the licensor or its authorized representatives shall create a warranty. Without limitation to the foregoing, Diaspure provides no warranty or undertaking, and makes no representation of any kind that the Services will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither Diaspure nor any of Diaspure’s providers make any representation or warranty of any kind, express or implied:
- as to the operation or availability of the Service and materials included therein;
- that the Services will be uninterrupted or error-free;
- as to the accuracy, reliability, or currency of any information or content provided through the Services;
- or that the Services, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs, or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU ACKNOWLEDGE AND AGREE THAT, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, INFRINGEMENT (INCLUDING NEGLIGENCE) OR OTHERWISE, IN NO EVENT WILL DIASPURE OR ITS AFFILIATES, INCLUDING, WITHOUT LIMITATION, THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SUCCESSORS AND ASSIGNS, BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY DIRECT OR INDIRECT LOSS, DAMAGE, COST, EXPENSE OR LIABILITY OF ANY KIND (“LOSS”) ARISING IN ANY WAY OUT OF OR IN CONNECTION WITH THE AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO USE THE DIASPURE SERVICES, INCLUDING (WITHOUT LIMITATION): (i) DAMAGES FOR BUSINESS INTERRUPTION, LOSS OF BUSINESS AND OTHER PROFITS, LOSS OF PROGRAMS, COST OF REPLACING EQUIPMENT OR SOFTWARE OR LOSS OF RECORDS, INFORMATION OR DATA, LOSS OF USE OF DATA, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF CUSTOMERS, LOSS OF OR DAMAGE TO REPUTATION, LOSS OF CAPITAL, DOWNTIME COSTS, LOSS UNDER OR IN RELATION TO ANY OTHER CONTRACT, OR LOSS OF ANTICIPATED SAVINGS OR BENEFITS; (ii) ANY INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL LOSS; OR (iii) ANY LOSS ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE DIASPURE SERVICES. THIS EXCLUSION OF LIABILITY APPLIES EVEN IF DIASPURE MAY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS.
BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR PARTICULAR KINDS OF LOSS, IN SUCH STATES OR JURISDICTIONS, DIASPURE’S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW (THEREBY MINIMIZING DIASPURE’S LIABILITY TO YOU TO THE LOWEST AMOUNT THAT APPLICABLE LAW PERMITS).
16. Governing Law
The laws of Canada, excluding its conflicts of law rules, shall govern these Terms and your use of the Services. Your use of the Service may also be subject to other local, state, national, or international laws.
17. For European Union (EU) Users
If you are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are a resident.
18. United States Legal Compliance
In addition You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

20. Severability and Waiver
20.1. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
20.2. Waiver
Except as provided herein, our failure to insist upon or enforce any provision of these terms and conditions shall not be construed as a waiver of any provision or right of Diaspure.
All the terms and provisions of the Terms and Conditions will be binding upon and inure to the benefit of the parties to the Terms and Conditions and to their respective heirs, successors, permitted assigns, and legal representatives. Diaspure will be permitted to assign these Terms and Conditions without notice to you or consent from you.
